Facebook and Instagram owner Meta is bringing a legal challenge against Britain's media regulator ‌Ofcom over how fees and penalties are calculated under the government's Online Safety Act, London's High Court heard on Thursday. An Ofcom spokesperson said in a statement that fees and penalties under the law are based on a provider's qualifying worldwide revenue. "Disappointingly, Meta are objecting to the payment of fees, and any penalties that could be levied on companies in future, that are calculated on this basis," Ofcom said.

US and Iran explore short-term deal to end fighting | Gouvernance - Veille quotidienne | Scoop.it

The United States and Iran are edging toward a temporary agreement to halt their war, sources and officials said on Thursday, with Tehran reviewing a proposal that would stop the fighting but leave the most contentious issues unresolved. The emerging plan centres on a short-term memorandum rather than a comprehensive peace deal, underscoring deep divisions between the two ‌sides and signalling that it would be an interim step. Hopes that even a partial deal could lead to the reopening of the Strait of Hormuz have already moved markets, with global stocks approaching record highs on Thursday and oil prices nursing steep losses on bets that supply disruptions could ease.

SEC moves to scrap quarterly reporting requirement

SEC moves to scrap quarterly reporting requirement | Gouvernance - Veille quotidienne | Scoop.it
Wall Street’s top watchdog has proposed scrapping mandatory quarterly reporting for US-listed companies in favour of twice-yearly filing, accelerating President Donald Trump’s deregulatory push. The Securities and Exchange Commission on Tuesday said it was proposing a rule and amendments that would allow public companies to file earnings reports semi-annually rather than quarterly as required by federal securities laws. SEC chair Paul Atkins said: “Public companies have an obligation under the federal securities laws to provide information that is material to investors. Yet, the rigidity of the SEC’s rules has prevented companies and their investors from determining for themselves the interim reporting frequency that best serves their business needs and investors.”

Italy’s UniCredit said it reached a preliminary deal to sell part of its Russian unit to a private investor in the United Arab Emirates for an undisclosed sum, in its biggest step yet to exit the country. UniCredit, one of the few Western banks that continues to operate in Russia, has moved to wind down its business there since the full-scale invasion of Ukraine began. The bank said Thursday that it would take a profit hit of between 3 billion and 3.3 billion euros ($3.52 billion-$3.88 billion) and book a capital benefit as a result of the deal. Its shareholder-distribution plans and long-term profit ambitions won’t be affected, UniCredit added.

Quebec’s new Premier has hit the ground running with just a few months left to distance herself from her predecessor François Legault, and to convince voters her government still has something to offer. In the three weeks since she was sworn in, Christine Fréchette has scored meetings with Prime Minister Mark Carney in Ottawa and U.S. Trade Representative Jamieson Greer in Washington, seeking to strengthen ties outside the province. She has cut taxes for businesses and promised new legislation to protect women from domestic violence. Faced with the Herculean task of bringing her party back from the brink of oblivion on the eve of an election, Ms. Fréchette has, by her own account, been in “hyperactive mode.”

The regulator said it was investigating the three companies for potential breaches of the UK Competition Act 1998, which prohibits companies from agreeing to practices that may distort competition or trade.

SpaceX IPO gives Musk sweeping power and curbs shareholder rights | Gouvernance - Veille quotidienne | Scoop.it

SpaceX has adopted corporate governance policies that will erode typical shareholder protections in unprecedented ways, giving founder Elon Musk virtually unchecked executive authority when the rocket maker goes public later this year. Excerpts of SpaceX's IPO registration statement reviewed by Reuters show the company is combining supervoting shares, mandatory arbitration, stricter rules on shareholder proposals and Texas corporate law to give Musk and other insiders broad control. At the same time, it sharply limits investors' ability to challenge management, sue in court and force votes on governance issues. And the only person who can fire Musk is Musk, who will retain majority control ‌through supervoting shares.

With separatists in Alberta pushing to hold a referendum on independence in October, Mr. Kenney said the pro-Canada side within the province hasn’t gotten organized fast enough, and that the rest of the country has similarly been too complacent. “The federalist side, I would say it has been slow to gel,” Mr. Kenney said in Toronto, speaking at an event on Canadian democracy hosted by Toronto Metropolitan University titled Sovereignty at Stake.

Coinbase Global Chief Executive Brian Armstrong said his company was cutting 14% of its workforce as AI changes “how we work.” PayPal plans to cut 20% of its staff over the next two to three years, part of plans to step up its adoption of artificial intelligence. Then there is Axon Enterprise President Josh Isner, who recently emailed the Taser maker’s more than 5,000 staffers and told them to essentially breathe: AI won’t trigger layoffs anytime soon, he assured them. “I am thinking of AI as the thing that allows our teams to do more, not the thing that replaces our teams,” Isner wrote. Even if the technology lets staff be twice or even three times as productive, there will be additional problems to solve. So, he added: “Block out the noise and keep kicking ass.”

A CMA CGM container ship was attacked while transiting the Strait of ‌Hormuz, injuring crew members and damaging the vessel, the French group said, as the U.S.-Iran conflict left traffic in the crucial oil and trade corridor at a standstill. The incident, which CMA CGM said occurred on Tuesday, was the latest attack on ships since the war erupted, stranding hundreds of vessels and disrupting 20% of global oil trade. Washington launched an operation on Monday to help escort ships through the Strait of Hormuz, allowing two U.S.-flagged vessels to exit the Gulf. Prime Minister Mark Carney acknowledged that the Canadian auto industry is facing “challenges” due to U.S. tariffs. His comments come amid reporting from a Japanese outlet that Honda is indefinitely suspending plans to build a $15-billion electric vehicle plant in Ontario. “There are challenges with the U.S. tariffs, unjustified tariffs in the auto sector,” Carney said to reporters on Wednesday morning in Ottawa. “We’ll continue to work with companies in the sector, helping them reposition, reinvest, supporting workers there. We’ll continue to do what’s necessary, including getting the right deal in Canada’s interest.” Carney did not mention Honda specifically. On Tuesday, Nikkei Asia reported that slow U.S. demand is pushing the Japanese automaker “to put hybrids at the centre of its North American strategy.” In May 2025, Honda announced it would delay the project for two years, with Honda chief executive Toshihiro Mibe saying the company would examine where the EV market is before deciding whether to move forward with the project.
