UBS ordered to give Credit Suisse shareholders access to valuation documents

UBS ordered to give Credit Suisse shareholders access to valuation documents | Gouvernance - Veille quotidienne | Scoop.it

A Zurich court has ordered UBS to provide internal valuation documents to former Credit Suisse shareholders, The Financial Times’ Mercedes Ruehl reports. UBS must grand access to internal documents submitted as part of their legal challenge to the bank’s 2023 takeover of its former rival, according to the report. UBS had argued that access should be limited to a narrower set of materials relied upon by court-appointed experts. The Commercial Court of Zurich has ruled in favor of plaintiffs seeking additional compensation for their former Credit Suisse holdings. The core of the ruling demands greater transparency, forcing UBS to reveal the foundational data and methodology used to determine the share exchange ratio during the frantic acquisition period in March 2023.

Baillie Gifford backs CoStar in activist battle | Gouvernance - Veille quotidienne | Scoop.it

One of CoStar’s largest shareholders has thrown its support behind the real estate data company’s strategy as it stares down a fierce proxy battle with activist hedge funds including Daniel Loeb’s Third Point.  Third Point, quickly followed by DE Shaw, went public in recent weeks with grievances about founder and chief executive Andy Florance’s multibillion-dollar investment in lossmaking listings site Homes.com, calling for an overhaul of the board.  The activist attacks set the stage for a fight for the future of CoStar when the board nomination window opens in mid-March. Loeb has called for the majority of the board to be replaced, suggesting he would propose a rival slate.

| JDM | Gouvernance - Veille quotidienne | Scoop.it

U.S. President Donald Trump will host a Board of Peace meeting on Thursday in Washington, where he will announce that member states have pledged more than US$5-billion for reconstruction and humanitarian efforts in Gaza, the White House said. White House press secretary Karoline Leavitt told reporters on Wednesday that more than 20 countries would participate in the meeting, adding that member states had committed to providing thousands of personnel for an international stabilization force for Gaza. Asked about the Vatican’s decision not to participate in the initiative, Leavitt called the move “deeply unfortunate.” Leavitt said Trump would chair the first part of Thursday’s meeting before departing Washington for a visit to Georgia.

Ontario Teachers’ Pension Plan reboots climate goals with $70-billion target

Ontario Teachers’ Pension Plan reboots climate goals with $70-billion target | Gouvernance - Veille quotidienne | Scoop.it

Ontario Teachers’ Pension Plan is revamping its approach to climate investing, aiming to double its portfolio of assets that are “aligned” with a net-zero transition by 2030, but dropping an emissions target that it set five years ago. The $270-billion pension plan announced a new goal to reach $70-billion of investments in climate-friendly assets over the next four years, from $35-billion currently. Teachers manages pensions for about 343,000 members in Ontario, including working and retired teachers. The new framework would count investments in privately owned companies that contribute directly to climate solutions with green products, services or technology, as well as large emitters that have credible plans to decarbonize.

Starbucks' investor group urges shareholders to replace directors over labor row

Starbucks' investor group urges shareholders to replace directors over labor row | Gouvernance - Veille quotidienne | Scoop.it

Starbucks faced fresh pressure on Wednesday from a coalition of investors including public-sector pension funds that urged shareholders to vote against the reelection of two directors, citing persistent failure to manage labor relations. The move against Starbucks' lead independent director, Jorgen Vig Knudstorp, and Beth Ford, chair of the board's Nominating and Corporate Governance Committee, comes as the company is locked in a prolonged effort to reach a collective agreement with its unionized baristas. More than 3,800 baristas had joined a nationwide strike late last year - marking the longest work stoppage in its history - as the Starbucks Workers United union pressed for better staffing, more predictable schedules and higher pay after drawn-out contract talks.

MTN Group has agreed to take full control of IHS Holding , buying the roughly 75% stake it does not already own in a deal that values the tower operator at about $6.2 billion, the companies said on Tuesday. MTN, Africa's biggest mobile operator, will pay $8.50 per share in cash. The deal will be funded through the rollover of MTN's existing stake of around 24% in IHS, as well as about $1.1 billion in cash from MTN, roughly $1.1 billion from IHS' balance sheet, and the rollover of no more than existing IHS debt, the tower operator said in a statement. With the deal, South Africa-based MTN returns to direct ownership of thousands of towers it originally built and later sold to IHS, reversing a decade‑long shift across the industry toward outsourced tower leasing.

A South Korean court on Thursday sentenced former President Yoon Suk Yeol to life in prison over his December, 2024, imposition of martial law, which judges deemed an insurrection aimed at overthrowing the country’s constitutional order. A conservative former prosecutor, Mr. Yoon declared military rule after opposition lawmakers used their parliamentary majority to repeatedly block his agenda and launch corruption investigations of Mr. Yoon and his wife. Late in the evening of Dec. 3, 2024, Mr. Yoon ordered troops to the National Assembly to arrest those he called “shameless pro-North Korean anti-state forces, who are plundering the freedom and happiness of our citizens.”

How China plans to dominate global trade long after Trump

How China plans to dominate global trade long after Trump | Gouvernance - Veille quotidienne | Scoop.it

China sees an opening to turn President Donald Trump's tariffs to its advantage by reshaping global trade in ways that would insulate its $19 trillion economy from U.S. pressure far into the future. Beijing is exploiting the uncertainty created by Trump to try to stitch China's vast manufacturing base into the world's biggest economic blocs, including the European Union, Gulf States and a trans-Pacific trade pact, a Reuters examination found. The push involves accelerating efforts to clinch some 20 trade deals in total, many years in the making, despite widespread concerns about China's overproduction, uneven market access and soft domestic demand. A Reuters review of 100 Chinese-language articles by state-backed trade scholars written since 2017 reveals a systematic push by China's policy advisers to reverse-engineer U.S. trade policy and neutralize Washington's containment strategy.

Activist investor Elliott Investment Management is pressing London Stock Exchange Group to conduct a full review of its portfolio and launch a 5 billion pound ($6.76 billion) buyback, a person familiar with the matter said on Wednesday. This comes days after Reuters reported that Elliott took a stake in LSEG and started engaging with the company on ways to boost performance. LSEG's shares have dropped more than 30% in the past 12 months, pressured further by a sharp global selloff in software stocks. While Elliott has not made specific requests to LSEG on asset disposals, it sees the group's 51% stake in U.S.-listed Tradeweb Markets as a potential route to generate cash, the person said, adding that the fund considers all of LSEG's portfolio as undervalued.

New York Pension Funds Sue AT&T Over Blocked Diversity Disclosure Vote | Gouvernance - Veille quotidienne | Scoop.it

AT&T was sued by four New York City public pension funds, which accused it of wrongly refusing to let shareholders vote on their proposal to require the telecommunications company to disclose the breakdown of its 133,000-person workforce by race, ethnicity and gender. In a complaint filed in Manhattan federal court, the funds said AT&T cited a November policy change by the U.S. Securities and Exchange Commission, which lets companies that claim a "reasonable basis" to exclude shareholder proposals. The funds said SEC regulations provide no excuse for AT&T to block a vote on their proposal at its 2026 annual shareholder meeting, and doing so causes "irreparable" injury. They want to prevent AT&T from soliciting shareholder proxies that exclude their proposal.
