BUY BACK BETTER — ExxonMobil Corp. and Chevron Corp. reported record earnings Friday. And if that weren’t enough for shareholders, the companies and their European rivals added a sweetener: Massive share buybacks. A buyback, or share repurchase, is exactly what it sounds like – a company uses excess capital to buy its own stock and boost its share price. Buybacks have been around for decades and they’re all but routine at many companies. [...] Here’s some history. Companies can spend their money on almost anything: research and development, employee bonuses, increased investment. But they couldn’t easily send excess capital to shareholders until 1982, when the Securities and Exchange Commission made it easier to execute buybacks. The practice started taking off in the early 2000s. In 2019, share repurchases hit a record $1 trillion, according to the SEC. In the first three months of 2022, companies reported a record $281 billion in buybacks, breaking a record set in the prior quarter, according to S&P Dow Jones Indices.

How do you push corporate leaders to meaningfully connect their business decisions to the deadly flooding we saw in Kentucky this week or the heat waves that are disproportionately harming lower-income regions? One fast-emerging, if imperfect, solution is to link sustainability and social metrics to executive pay, a practice that’s become far more common in Europe than anywhere else, according to a new survey by Corporate Secretary. Some 60% of respondents in Europe say their board ties ESG goals to executive pay, compared to only 37% of their North American counterparts. In 2021, the investor advisory firm Glass Lewis found that one-quarter of U.S. companies linked ESG metrics to executive pay. At S&P 500 companies, that figure jumped to 57%.

How many times have we heard the phrase, “that’s a new challenge the board needs to address”! As recently as 1990, the board of directors generally enjoyed a largely ceremonial existence. In publicly listed entities that were legally required to have a board of directors, board membership was seen as a form of recognition. Many closely held businesses did not even bother with the added layer of bureaucracy a board of directors entails. Contrast that with 2022, when a continuously growing list of topics, from climate change to diversity policy, call for serious board attention, and many different types of organisations, from global giants to start-ups, aspire to a high-performing board. The board of directors was once an afterthought, a relic of historic laws of incorporation; today it is being asked to be all things to all people: supreme body of direction, faultless guarantor of compliance with laws and regulation, vigilant monitor of risk, and dedicated sponsor of social responsibility. [...] Here, we present the cases of three world-leading companies, whose boards have chosen to make corporate governance a source of competitive advantage.
