Private equity fundraising slides as sector’s downturn deepens

Private equity fundraising slides as sector’s downturn deepens | Corporate governance - Vigil | Scoop.it

Private equity firms are struggling to raise money despite offering unprecedented enticements to attract new investor cash, underscoring a sector-wide contraction that is denting the profitability of the industry. Private equity groups raised just $592bn in the 12 months to June: their lowest tally for seven years, data from Preqin show. The decline came even as firms offered more discounts such as management fee cuts, “early-bird discounts” for investors who commit quickly to new funds and other incentives. They “are offering a smorgasbord of discounts”, said Marco Masotti, global head of private equity fundraising at law firm Paul Weiss, who added in a report by the firm that PE groups were “facing mounting fee pressure and agreeing to a cascade of discounts”. The industry’s fundraising has shrunk by nearly a third from its record levels in 2021. Higher interest rates and a slowdown in dealmaking have left firms unable to sell trillions of dollars in ageing investments, causing growing frustration from investors, many of whom are now refusing to back funds.Private equity fundraising slides as sector’s downturn deepens

Shale producer Crescent Energy to acquire Vital Energy in $3.1-billion all-stock deal

Shale producer Crescent Energy to acquire Vital Energy in $3.1-billion all-stock deal | Corporate governance - Vigil | Scoop.it

U.S. shale producer Crescent Energy said on Monday it would acquire smaller peer Vital Energy in an all-stock deal valued at US$3.1-billion, including debt. The deal highlights how some U.S. companies are pursuing scale at a time when mergers and acquisitions in the shale industry slowed in the second quarter due to volatility in the energy and equity markets. Vital shareholders will receive 1.9062 shares of Crescent common stock for each share held, representing an offer valued at US$18.95 per share and a premium of 20 per cent, based on the stocks’ last close. Shares of Vital Energy were up 9.5 per cent while Crescent Energy was down 2.9 per cent in premarket trading. Reuters had on Friday, after markets closed, reported on the deal talks, citing people familiar with the matter. The merger will create one of the 10 largest independent oil and gas producers in the U.S., with positions across the Eagle Ford, Permian and Uinta basins and more than a decade of drilling inventory, the companies said.

Keurig Dr Pepper Strikes $18 Billion Deal for JDE Peet’s - WSJ

Keurig Dr Pepper Strikes $18 Billion Deal for JDE Peet’s - WSJ | Corporate governance - Vigil | Scoop.it

Keurig Dr Pepper has struck a deal to buy Peet’s Coffee owner JDE Peet’s for $18 billion, a prelude to spinning off its coffee brands into a separate public company. The deal is transformational for Keurig Dr Pepper and would eventually unwind the 2018 transaction that put coffee maker Keurig and beverage company Dr Pepper under the same corporate roof. At that time, the transaction was the world’s biggest in nonalcoholic drinks. Keurig Dr Pepper said it would pay JDE Peet’s shareholders 31.85 euros (around $37) a share in cash, a 33% premium to the average price over roughly the last three months. JDE Peet’s, based in Amsterdam, has a market value of around $15 billion. Keurig Dr Pepper’s is around $50 billion. After that deal closes, Keurig Dr Pepper plans to separate into two companies listed in the U.S., one focused on coffee and the other on refreshment beverages including Dr Pepper, 7UP, Snapple and energy drinks such as Bloom and Ghost. The global coffee company would have roughly $16 billion in annual revenue, while the beverage company would have some $11 billion in revenue.

Workforce Planning At The Board Level: A Strategic Imperative, Not An Operational Detail

Workforce Planning At The Board Level: A Strategic Imperative, Not An Operational Detail | Corporate governance - Vigil | Scoop.it

In today’s climate of volatility and reinvention, boards that view workforce planning as an HR sidebar are missing a vital lever for value creation. In boardrooms across the country, talent has long been considered a differentiator. But today, it’s more than that. It’s an existential lever. In an era marked by AI disruption, labor shortages, hybrid models and shifting employee expectations, workforce planning is no longer an operational afterthought. It is a strategic imperative, deserving the same scrutiny and foresight as cybersecurity, capital allocation and enterprise risk. Boards that fail to rigorously pressure-test talent strategies face rising exposure to execution risk and missed growth opportunities. According to McKinsey & Company, nearly 50 percent of executives cite skills gaps as a critical threat to business success over the next five years, with 87 percent already experiencing those gaps or anticipating them soon.

Santander signals Wall St ambition with Spac mandates

Santander signals Wall St ambition with Spac mandates | Corporate governance - Vigil | Scoop.it

Former Credit Suisse bankers have helped Santander win lead roles on a series of high-profile blank-cheque company deals, underscoring the Spanish lender’s ambitions to become a more serious player on Wall Street. Santander has in recent months been announced as the sole bookrunner on listings for several special purpose acquisition companies, or Spacs. The backers behind the investment vehicles are familiar faces who rode the huge Spac boom in 2020 and 2021, including billionaire investors Alec Gores, Bill Foley and most recently Chamath Palihapitiya.  The mandates reflect the impact of bankers hired from Credit Suisse following the 2023 takeover of the Swiss lender by rival UBS. They include Niron Stabinsky, one of Wall Street’s best-known Spac bankers, and David Hermer, Santander’s head of corporate and investment banking.

Ça risque d’arriver encore | Corporate governance - Vigil | Scoop.it

Thoma Bravo to buy Verint in $2 billion deal as software acquisitions ramp up

Thoma Bravo to buy Verint in $2 billion deal as software acquisitions ramp up | Corporate governance - Vigil | Scoop.it

Thoma Bravo will acquire Verint Systems in a $2 billion deal, including debt, the customer engagement platform said on Monday, marking the latest software buyout as private equity firms increasingly bet on AI to navigate an uncertain economy. Software companies have emerged as prime acquisition targets as adoption of artificial intelligence and recurring revenue prove to be resilient markers in an economy pressured by tariffs and volatile customer spending. Under the agreement, Verint shareholders will receive $20.50 per share in cash. The offer represents a premium of 4.2% to the stock's closing price on June 30, before the talks were first reported, and implies an equity deal value of $1.23 billion, according to Reuters calculations. Shares of Verint — which provides an AI-powered platform to help enterprises organize, manage and improve customer interactions across various channels and digital operations — were down 1.2% at $20.23.

Stock exchanges urge regulators to crack down on 'tokenised stocks'

Stock exchanges urge regulators to crack down on 'tokenised stocks' | Corporate governance - Vigil | Scoop.it

A group representing the world's biggest stock exchanges has called on securities regulators to clamp down on so-called tokenised stocks, arguing that the blockchain-based tokens create new risks for investors and could harm market integrity, a letter seen by Reuters shows. Tokenised equities are blockchain-based tokens created to represent shares in companies. The tokens represent ownership of the securities but investors do not become shareholders in the underlying company. Crypto exchange Coinbase and broker Robinhood are among those making a push into the nascent sector that could shake up the securities investing landscape. Proponents say tokenised equities can cut trading costs, speed up settlement and facilitate around-the-clock trading. The World Federation of Exchanges (WFE), in a letter sent to three regulatory bodies last Friday, said it was concerned the tokens "mimic" equities without providing the same rights or trading safeguards.

Cenovus signs deal to buy MEG Energy | Corporate governance - Vigil | Scoop.it

MEG Energy Inc. has accepted a friendly cash-and-stock takeover offer from oilsands neighbour Cenovus Energy Inc. worth $7.9 billion, including debt, but Strathcona Resources, the hostile bidder MEG has spurned, is not ready to give up its pursuit. A special committee reviewed all available options to boost shareholder value after Strathcona made its takeover attempt this spring, MEG chairman James McFarland said Friday. “After considering the Strathcona unsolicited offer, engaging with multiple parties on proposals, and assessing them against MEG’s stand-alone plan, the special committee and the MEG board unanimously concluded that the proposed transaction with Cenovus represents the best strategic alternative,” McFarland said in a statement. Strathcona executive chairman Adam Waterous said MEG’s board has agreed to a “take-under,” as the Strathcona bid, open until Sept. 15, is worth a dollar more per share than what Cenovus has put forward.

Tech Rally Shows Signs of Losing Steam - WSJ | Corporate governance - Vigil | Scoop.it

The prospect of lower interest rates is boosting many parts of the market: real-estate firms, banks, manufacturers. The outlook for Wall Street’s most popular stocks—the Magnificent Seven tech giants that have led major indexes to records—is much less clear. Those market leaders—Amazon.com, Alphabet, Apple, Meta Platforms, Microsoft, Nvidia and Tesla—have been buffeted recently by questions about the potential for artificial intelligence, concerns about their increasingly stretched valuations and competition from hitherto unloved parts of the market.  In the coming days, the tech sector will face a key test when Nvidia, the world’s most-valuable listed company, reports earnings. What investors learn there could be key to further gains. Joshua Boyer, 43, said he has trimmed his exposure to megacap tech stocks like Nvidia, Microsoft and Meta by about 25% in recent days. The Phoenix resident said shares have grown expensive relative to the companies’ earnings and said he is satisfied with the outsize returns over the past several months.

As Canada lifts countertariffs on American goods, what does it mean for consumers? | Corporate governance - Vigil | Scoop.it

he federal government’s decision to lift most retaliatory tariffs on American goods is expected to deliver some relief to consumers, although experts watching the trade war say the “buy Canada” movement may continue to limit demand for U.S. products. Prime Minister Mark Carney announced on Friday that Ottawa will mirror U.S. tariffs by only imposing them on goods that are not compliant with the United States-Mexico-Canada trade agreement, which he said was designed to reset trade negotiations with President Donald Trump. The change will take effect on Sept. 1. Countertariffs on steel, aluminum and the auto sector will remain in place. The federal government has imposed countertariffs on $60-billion worth of goods, excluding auto tariffs, in response to Mr. Trump launching a trade war against Canada. It has offered carevouts since then.

Powell opens door to rate cuts, says Fed will proceed carefully

Powell opens door to rate cuts, says Fed will proceed carefully | Corporate governance - Vigil | Scoop.it

Federal Reserve Chair Jerome Powell on Friday opened the door ever so slightly to lowering a key interest rate in the coming months but gave no hint on the timing of a move and suggested the central bank will proceed cautiously as it continues to evaluate the impact of tariffs and other policies on the economy. In a high-profile speech that will be closely watched at the White House and on Wall Street, Powell said that there are risks of both rising unemployment and stubbornly higher inflation. That puts the Fed in a tough spot, because it would typically cut its short-term rate to boost hiring, while keeping it high – or raising it – to fight inflation. “The stability of the unemployment rate and other labour market measures allows us to proceed carefully as we consider changes to our policy stance,” Powell said in prepared remarks. That suggests the Fed will continue to evaluate jobs and inflation data as it decides whether to cut rates, including at its next meeting Sept. 16-17.

ESG Metrics in CEO Pay: A Signal to Shareholders or a Shift in Strategy?

ESG Metrics in CEO Pay: A Signal to Shareholders or a Shift in Strategy? | Corporate governance - Vigil | Scoop.it

In recent years, environmental, social, and governance (ESG) concerns have become central to the corporate conversation. Social and environmental goals, in particular, often require long-term commitments—commitments that typically stretch well beyond the tenure of any individual CEO. It’s no surprise, then, that ESG-conscious investors increasingly worry that companies are quick to make bold, long-term promises but slower to implement the concrete short-term actions needed to deliver on these commitments. One solution, often discussed in boardrooms and shareholder meetings, is to link CEO compensation to ESG outcomes. If ESG goals are truly strategic priorities, the logic goes, then tying them to executive pay ensures accountability. By embedding ESG metrics in compensation packages, companies appear to affirm that these goals matter—not just in press releases, but in the decisions that guide corporate behavior. But are these incentives real drivers of change, or are they simply well-crafted messages to placate concerned investors?

Exclusive: Whitestone REIT may face board challenge by hedge fund Emmett Investment, sources say | Corporate governance - Vigil | Scoop.it

Hedge fund Emmett Investment Management is gearing up for a possible board room fight at Whitestone REIT and may nominate directors to the shopping center operator's six-person board, two people familiar with the matter told Reuters. Emmett, a New York-based investment firm run by Alexander Rohr, has been a long-term investor in Houston-headquartered Whitestone and has expressed frustrations about how the company allocates capital and criticized its governance. The firm owned 2.2% of the company at the end of the second quarter, making it the sixth largest investor. For Whitestone, which is worth roughly $633 million, a fight with Emmett would be its second proxy battle in two years. Shortly after beating back last year's board challenge, management rejected a $15 a share takeover bid by MCB Real Estate. Since then, Whitestone's share price has dropped by more than 14% to around $12.40 as of Wednesday's close.
