How to Avoid Negotiating with a Hacker - Directors And Boards

How to Avoid Negotiating with a Hacker - Directors And Boards | Corporate governance - Vigil | Scoop.it

Advanced preparation and optimal board personnel are key if you want to avoid a cyber crisis. We exist in an age of heightened data sensitivity, but that is the price of doing business in an increasingly globalized and digitized world. Connectedness is the reward; hyper vigilance is the price. For companies large and small, this means cybersecurity can no longer be outsourced. Instead, it must be internalized within an organization’s DNA. No corporate board wants to find itself negotiating with a hacker who holds the integrity of the company’s data in their fingertips. The only way to keep pace with increasingly sophisticated cyberattackers is to dedicate resources to cybersecurity. To accomplish this, boards must prioritize hiring of highly skilled IT employees, upskilling current employees on cybersecurity tactics and creating an internal cyber wall of defense.

2022 US Corporate Governance Survey: Part 2 - Cooley Global Law Firm | Corporate governance - Vigil | Scoop.it

Cooley is committed to providing public companies and their boards with relevant, on-demand resources. [...] Nearly all respondents said that they subject all employees to the company insider trading policy, while less than half of respondents subject all consultants to the policy. A significant majority also subject non-employee members of the board of directors to the policy. Others subjected to the policy mentioned by respondents include family members of covered people and former employees, among others.

It Was 30 Years Ago Today, George Soros Taught the Bank to Play - The Washington Post

Happy Black Wednesday Friday. Margaret Thatcher always used to say that “you can’t buck the markets.” Having in 1990 been dragged very much against her will into joining the exchange rate mechanism of the European Monetary System (in which other EU currencies traded in a fixed band around the deutsche mark in what was intended as a precursor to the euro), she appeared to gain vindication 30 years ago today, when the UK government abandoned its attempt to keep the pound within the mechanism and let it float — which in practice meant that it let the currency collapse. The events of “Black Wednesday” were a classic example of how economic actors can inadvertently display their weakness when they try to show strength. The pound had been overvalued when it entered the mechanism. Then the mark strengthened still further after the Federal Reserve in the US started to cut rates in an attempt to stimulate the economy. That briefly pushed the pound above $2.00, an infeasible level. Hedge funds, led by George Soros, who would become a household name as a result, saw that such a high level for the pound could not be defended and prepared to place big negative bets against sterling.

Microsoft’s $69 Billion Activision Deal Locked Into UK Scrutiny - BNN Bloomberg

Microsoft’s $69 Billion Activision Deal Locked Into UK Scrutiny - BNN Bloomberg | Corporate governance - Vigil | Scoop.it

(Bloomberg) -- Microsoft Corp.’s planned $69 billion purchase of computer games developer Activision Blizzard Inc. faces an in-depth probe in the UK after regulators said the deal could hamper competition. The Competition and Markets Authority said it decided to kickstart a longer review after Microsoft turned down the chance to offer remedies to address its concerns. “Microsoft informed the CMA that it would not offer such undertakings,” the regulator said in its decision. The move was expected after the CMA previously flagged concerns the deal could lead to a substantial lessening of competition in the gaming console, subscription and cloud markets. The regulator now has until March 1 to come to a final decision.

Meet the New Board: Same as the Old Board - MIT Sloan Management Review

Meet the New Board: Same as the Old Board - MIT Sloan Management Review | Corporate governance - Vigil | Scoop.it

Increased scrutiny from investors, regulators, the media, and other stakeholders is pressuring public companies to refresh their boards of directors to achieve greater diversity. Shareholders have sued at least a dozen public company boards since mid-2020, accusing them of failing to diversify. From July 2020 through June 2021, investment manager BlackRock voted against more than 1,800 directors at close to 1,000 companies for insufficient action to increase board diversity. [...] Despite increased board refreshment — the addition of new directors with an eye toward ensuring that the board has the necessary expertise and breadth of perspective — many companies still struggle to appoint directors who are women, people of color, or members of other underrepresented groups. Our interviews with board directors (see “The Research”) revealed that corporations go through the motions of refreshment but ultimately accomplish little, replacing an outgoing director with someone similar rather than with a person who has a different professional background, identity, or perspective.

Bank of Canada takes to Twitter to set record straight on ‘printing money’ claim - The Toronto Star

OTTAWA - As the Bank of Canada tries to reign in red hot inflation, the central bank is engaging in another fight: one against misinformation. In recent weeks, the central bank has been using social media to engage the public on the economy, explaining how inflation works and what it’s doing to bring inflation back to its two per cent target. However, in its most recent Twitter thread, the bank went beyond explaining economics and took direct aim at a common attack levied against its policy decisions during the pandemic. “#YouAskedUs if we printed cash to finance the federal gov’t. We didn’t,” the Bank of Canada tweeted on Aug. 25, followed by a series of tweets refuting the claim. [...] Today’s high inflation environment and the politicization of the central bank has led to a wider audience, with more Canadians concerned about rising interest rates and the high cost of living. Alongside this heightened interest has also come a level of distrust of the Bank of Canada’s operations and a misperception that it printed money during the pandemic. Conservative leadership front-runner Pierre Poilievre has been a loud critic of the Bank of Canada, vowing to fire Governor Tiff Macklem if he becomes prime minister. Poilievre has not explained how he plans to fire Macklem given the Bank of Canada Act does not provide the federal government with that power.

Exxon Takes Legal Action After Putin Blocks Final Russian Exit - BNN Bloomberg

Exxon Takes Legal Action After Putin Blocks Final Russian Exit - BNN Bloomberg | Corporate governance - Vigil | Scoop.it

Exxon Mobil Corp. took the first step toward filing a lawsuit against Russia after Vladimir Putin blocked the oil major from exiting its only remaining operation in the country.  Exxon has been trying to exit the Sakhalin-1 project in the country’s Far East since March but was stalled by a presidential decree earlier this month. Russia’s state-owned Rosneft PJSC said the dispute could be resolved if Exxon resumes normal operations at the project. “We have provided a notice of difference to the Russian Federal Government regarding the decree, which inhibits our rights and impedes our ability to exit operations safely,” the Irving, Texas-based company said Tuesday in a statement.

CHRO and HR leader insights from the August 2022 Pulse Survey - PWC

Employers are being more selective when it comes to hiring
The most significant change reported by CHROs of the past six months has been a shift in the nature of remote, hybrid and in-person workers: Companies are pulling back on hiring. As more and more companies accept the new realities of flexible working environments, many are leaning into the benefits of streamlined, partially or wholly remote positions staffed by skilled workers.
Our latest PwC Pulse Survey shows that human resource leaders are looking to reduce overall headcount and focus on finding talent with specific skills. In spite of increased job creation and declining unemployment, many companies are looking to strategically manage headcount to help navigate shifting economic headwinds. Maintaining strategic workforce investments while pulling back on overall spending shows a clear switch from a reactive to a proactive policy.

Risk oversight and the board: navigating the evolving terrain - August 2022 Report - PWC

Risk oversight and the board: navigating the evolving terrain - August 2022 Report - PWC | Corporate governance - Vigil | Scoop.it

We’re living in an era of unforeseen events that give rise to risks, including geographic conflicts and a “black swan” event—something so unpredictable that it’s not on anyone’s radar—a global pandemic with far-reaching economic and social consequences. While a company can’t always anticipate what might be around the corner, strong risk oversight by the board can help the company respond with more rigor and agility. The number and types of risks the board oversees continue to grow, even as their nature changes. Some become more likely as businesses are more interconnected. Some are likely to impact just a certain area of the business. Others could severely impact the entire brand.

Board Reforms, Stock Liquidity, and Stock Market Development - Harvard Law School Forum

Board Reforms, Stock Liquidity, and Stock Market Development - Harvard Law School Forum | Corporate governance - Vigil | Scoop.it
To develop financial markets, improve market liquidity and attract international capital, governments around the world are encouraged to improve their countries’ corporate governance systems and adopt internationally accepted best practices in corporate governance (e.g., OECD, 2011). However, there is little cross-country evidence in the extant literature on whether and how corporate governance reforms affect stock liquidity and stock market development. Corporate boards are arguably the most important corporate governance mechanism to protect outside shareholders from expropriation by corporate managers. Thus, over the past decades we have observed the introduction of a series of board reforms to improve board monitoring on corporate managers in numerous countries around the world and such reforms are shown to have increased firm value (Fauver, Hung, Li, and Taboada, 2017). In this study, we provide new empirical evidence on the effect of board reforms on stock liquidity and stock market development around the world.

Nasdaq Board-Diversity Rule Takes Center Stage in Court Battle - The Wall Street Journal | Corporate governance - Vigil | Scoop.it

Lawyers for conservative groups argued in federal court Monday that Nasdaq Inc.’s push to set diversity targets for listed companies amounts to an illegal racial and gender quota. Two right-leaning groups sued the Securities and Exchange Commission last year, setting up a battle over the hot-button issue of corporate diversity and how far regulators can go to foster it. The groups sued the SEC because the agency approved Nasdaq’s listing rules, acting in its capacity as the stock exchange’s regulator.

What is a compensation committee: Roles, responsibilities and best practices - IR Magazine

What is a compensation committee: Roles, responsibilities and best practices - IR Magazine | Corporate governance - Vigil | Scoop.it

A compensation committee is the portion of a corporate or nonprofit board that selects and reviews salary and other forms of compensation. It must balance the organization’s financial realities with investor expectations and ultimately create competitive retention strategies. Compensation committee responsibilities include advising the board and strategically selecting what to include in a compensation package. What is a compensation committee? A board of directors’ compensation committee is a set of independent directors who set pay rates for senior management. But a compensation committee oversees more than just the number on a paystub. It is responsible for all the pieces that make up overall compensation, like profit sharing, bonuses, stocks, and so on. It must use these to predict and stay in line with an organization’s future goals.

New executive compensation disclosure requirement for the 2023 proxy season - DLA Piper Global Law Firm

The SEC has adopted final rules requiring that proxy statement disclosures reflect the relationship between the payment of executive compensation and a reporting company’s financial performance.  The new disclosure applies to all SEC reporting companies, except foreign private issuers, registered investment companies and emerging growth companies, and will be required for fiscal years ending on or after December 16, 2022. Scaled disclosure requirements apply to smaller reporting companies. This new pay-versus-performance disclosure will need to be tagged using Inline XBRL and written using the style set out in the SEC’s A Plain English Handbook. Although new disclosure requirements generally follow the 2015 proposal, the final rules require issuers to calculate the value of certain equity and pension awards in more detail than would have been required under the proposed rule.

The Making and Meaning of ESG - SSRN

The Making and Meaning of ESG - SSRN | Corporate governance - Vigil | Scoop.it

ESG is one of the most notable trends in corporate governance, management, and investment of the past two decades. It is at the center of the largest and most contentious debates in contemporary corporate and securities law. Yet few observers know where the term comes from, who coined it, and what it was originally aimed to mean and achieve. As trillions of dollars have flowed into ESG-labeled investment products, and companies and regulators have grappled with ESG policies, a variety of usages of the term have developed that range from seemingly neutral concepts of integrating “environmental, social, and governance” issues into investment analysis to value-laden notions of corporate social responsibility or preferences for what some have characterized as “woke capitalism.”

What Is Stock Market Short-Termism? - CLS Blue Sky Blog

What is stock market short-termism? It’s important to know the boundaries between stock market short-termism and other economic ills, because in public discourse many social and economic woes are mistakenly attributed to stock market myopia. But when we mistakenly categorize problems as due to corporate or stock market short-termism, when they in fact have little to do with failing to think and plan for the long run, we misunderstand the problem and miss out on the best remedies. Knowing what is, and just as importantly what is not, due to stock market short-termism is vital so that policymakers, analysts, and pundits avoid wrongly prescribing remedies that are fated for failure from the start.

Divestment should be a tool of absolute last resort. Climate-aware institutional investors considering divesting should be thinking very hard about what power they are giving up. If investors most agreeable to rapid decarbonisation sell their shares, they lose their influence. Decisions will be made by those around the table.

On the other hand, there is evidence that sustained and escalating shareholder pressure can have an impact on company decision-making

6 steps to build an ERM framework to encompass ESG risk - EY USA

6 steps to build an ERM framework to encompass ESG risk - EY USA | Corporate governance - Vigil | Scoop.it

It seems almost impossible that the complex and cluttered risk landscape that public and private companies must navigate every day could get any more challenging. But the emergence of ESG (environmental, social and governance) risk has risen rapidly to become the global interconnected and all-powerful set of challenges to a company’s standing with everyone from employees to shareholders, investors, and the board. The announcement in March 2022 of new SEC guidelines1 to frame consistent guidelines for disclosures and ESG reporting is now only serving to spotlight the increasing significance of ESG factors and turn up the temperature for all executives on an all-ready white-hot risk landscape. [...] So much so that we’ve now reached a point where no company, regardless of size or public or private status, can view developing resilience to ESG risk as an optional matter or a can that can be kicked down the road. We cannot simply check the box on ESG as we consider risk management strategies: this must become a No. 1 priority.

California may soon require nearly all employers hiring in the state to begin listing pay on job postings, a move that could affect many of the biggest U.S. companies. A bill passed by the California legislature mandates that all organizations with 15 or more employees include the hourly pay or salary range on job listings in the state. It also calls for companies to disclose more information to the state on the wages of existing workers. It now heads to the desk of Gov. Gavin Newsom, a Democrat. Representatives for Mr. Newsom declined to comment.

How Retail Investing Improves Corporate Governance and Benefits Society - Columbia Law School Blue Sky Blog

Retail investors’ effective engagement with the corporate sector requires a corporate governance infrastructure that allows shareholders with granular interests to participate in decisions at minimal costs. Approaches such as a forum for shareholders to interact with each other and with the corporation would facilitate information gathering and year around engagement. However, only a shift in the social norms that govern investing would prompt a fundamental change. Such a shift is possible when a large, broad, and diverse base of shareholders exercises its voting rights.

Cybersecurity and the Board - July 2022 Report - Spencer Stuart

Cybersecurity and the Board - July 2022 Report - Spencer Stuart | Corporate governance - Vigil | Scoop.it

Cybersecurity is getting increased scrutiny from boards across industries, as the threat of breaches and other online security-related issues pose significant risks. According to IT Governance, 95 security incidents around the globe compromised almost 66 million records in the first month of 2022 alone — impacting organizations across the industry spectrum, from banks and retailers to schools and hospitals. Meanwhile, geopolitical tensions have raised the specter of government-sponsored cyber incursions on private-sector companies, which may find themselves in the middle and at risk. Regulatory bodies are taking notice, recognizing the materiality of cyber risk (and the risk to investors) wanting to ensure that boards and leadership teams are giving it proper oversight. For example, a recent proposal by the Securities and Exchange Commission (SEC) would require companies to disclose their oversight of cybersecurity as well as the cybersecurity expertise of their board members, which the SEC defines as prior work in cybersecurity; certification or a degree in cybersecurity; and/or knowledge, skills or other background related to cybersecurity.

SEC Releases Final Pay Versus Performance Rules - Gibson Dunn LLP | Corporate governance - Vigil | Scoop.it
On August 25, 2022, the Securities and Exchange Commission (“SEC” or “Commission”), in a 3-to-2 vote, adopted final rules implementing the pay versus performance disclosure requirement called for under Section 953(a) of the Dodd-Frank Wall Street Reform and Consumer Protection Act (the “Dodd-Frank Act”). The final rules require proxy statements or information statements that include executive compensation disclosures to include a new compensation table setting forth for each of the five most recently completed fiscal years, the “executive compensation actually paid” (as defined in the final rule) to the company’s principal executive officer (“PEO”) and the average of such amounts for the company’s other named executive officers (“NEOs”), total compensation as disclosed in the Summary Compensation Table for the PEO and the average of such amounts for the other NEOs, total shareholder return (TSR), peer group TSR, net income and a company-selected financial measure that represents the “most important financial measure” used by the company to link compensation actually paid to company performance.

European Central Bank (ECB) Tilts Toward Climate, but Investors Can Go Further - Harvard Law School Forum

European Central Bank (ECB) Tilts Toward Climate, but Investors Can Go Further - Harvard Law School Forum | Corporate governance - Vigil | Scoop.it

The European Central Bank (ECB) is set to tilt its monetary policy strategy towards corporate bond issuers with “better climate performance.” That’s a laudable but challenging goal to implement. While simple decision rules may seem useful, we think investors need a holistic understanding of climate issues to address the causes and effects of climate change. Last month, the ECB announced an official start date of October 2022 for building climate change into its monetary policy operations. The climate policy tilt will include not only the ECB’s corporate bond-buying programs but also the bank’s disclosure policies, risk assessment and collateral framework. Under the plan, the share of assets on the Eurosystem’s balance sheet issued by companies with a better climate performance will be increased compared with that by companies with a poorer climate performance. That sounds straightforward, but there are formidable practical difficulties around this plan.
