| Corporate governance - Vigil | Scoop.it

Investors eye Latin America as they diversify away from Wall Street

Investors eye Latin America as they diversify away from Wall Street | Corporate governance - Vigil | Scoop.it

Latin America has emerged as a top investing destination as ongoing wars - both of the military and trade variety - make investors seek options in a region they view as refreshingly untroubled by tariffs and major conflicts. Portfolio flows data suggests that investors are largely underexposed to Latin America even as many stock markets - including Brazil’s and Mexico’s - are trading at or near record highs, while sovereign bonds offer still-attractive yields. Although some prefer not to chase a stock rally, others have focused on the local debt market. “The Latam story is easier to tell now as stocks are cheap and there is a lack of options in emerging markets,” said Leonard Linnet, head of equities at Itau BBA. “China is at the epicenter of the trade war, India is more expensive and has some geopolitical issues with Pakistan and investors are avoiding investing in Russia.”

Restructuring wave draws hedge fund interest in French PE-backed firms | Corporate governance - Vigil | Scoop.it

Hedge funds are circling a growing number of distressed companies in France, many of which are backed by private equity, as rising debt burdens and economic headwinds trigger a wave of restructurings across the country. According to restructuring advisers and distressed debt investors, up to 20 mid- and large-cap French companies, most of them private equity-owned, are now on close watch due to leverage and liquidity concerns. Among the names reportedly at risk are EQT’s Colisée and Cerba, Partners Group’s Emeria, and Apollo’s Ingenico. These companies are either actively restructuring their debt or facing pressure to do so. None of the firms involved have commented publicly.

IonQ to buy Oxford Ionics for $1.08 billion to expand quantum computing research

IonQ to buy Oxford Ionics for $1.08 billion to expand quantum computing research | Corporate governance - Vigil | Scoop.it

IonQ will acquire its British peer Oxford Ionics for $1.08 billion, the companies said on Monday, helping the U.S.-based quantum computing firm deepen its research expertise in the complex technology that is seeing booming investor interest. Shares of IonQ rose close to 4% premarket. The company was valued at $10.15 billion as of last close. Quantum computers are faster and more efficient than their classical counterparts, performing more niche and advanced calculations, partly due to their ability to predict the results of multiple paths simultaneously and store vast amounts of data. The technology is drawing hundreds of millions of dollars in funding from technology giants such as Microsoft, Alphabet's Google and IBM. Oxford Ionics' work is centred around novel methods of controlling qubits, the fundamental unit of quantum computers that much of modern quantum research is focusing on.

Is AI dulling critical-thinking skills? As tech companies court students, educators weigh the risks - The Globe and Mail

Is AI dulling critical-thinking skills? As tech companies court students, educators weigh the risks - The Globe and Mail | Corporate governance - Vigil | Scoop.it

After Michael Gerlich published a study this year, his inbox was flooded. He got so many messages, mostly from teachers, he wondered about closing his account. This was unusual for the professor, who teaches at SBS Swiss Business School in Zurich, where he heads the rather staid-sounding Center for Strategic Corporate Foresight and Sustainability. The paper that triggered the response, published in a peer-reviewed journal called Societies, looked at the relationship between the use of generative artificial intelligence applications, such as ChatGPT, and critical-thinking skills. He had sensed during lectures that students didn’t seem to be thinking as deeply as they once had been, and wondered whether AI was playing a role. Judging from his inbox, he hadn’t been the only one. [...] His research found a “significant negative correlation” between AI use and critical-thinking abilities: a higher dependence on AI tools is associated with lower critical-thinking scores, which was more pronounced among those aged 17 to 25.

Shareholders To Tesla: Time For A Governance Overhaul - Corporate Board Member | Corporate governance - Vigil | Scoop.it

With Musk’s attention divided and Tesla’s stock declining, investors demand structural reforms that could shape corporate governance debates across industries. The Tesla board recently received a letter from a group of its shareholders that asks for several corporate governance changes that may spark new conversations about the relationship between the board and its shareholders and whether there should be new standards of fiduciary duty set for corporate directors and the CEO. [...] They have proposed the following governance changes (edited for length):

  • Establish clear time commitments for any new CEO compensation plans.
  • Adopt and disclose a clear succession plan for management.
  • Adopt and disclose an over-boarding policy for directors that specifically limits outside board commitments at both public and private companies.
  • Appoint at least one new truly independent director with no personal ties to other board members.

Using AI for good at the board level: Are we ready for this?

Using AI for good at the board level: Are we ready for this? | Corporate governance - Vigil | Scoop.it

Artificial intelligence (AI) has been around for a long time, of course. But modern AI capabilities have pushed AI to an elevated main stage of the market. In its current forms (generative AI, or GenAI) and manifestations (agentic AI)AI brings many conversations, concerns, issues, and opportunities. Within the financial services industry which I serve, cyber risk management regarding AI capabilities has become a major executive concern. Criminals are using AI-enabled tooling (often referred to as adversarial AI) for increasing success against users and financial services firms. Adversarial AI has quickly undercut base foundations of security principles which CISOs and other cybersecurity professionals have depended upon for years. But implemented correctly, AI also holds tremendous opportunity to improve cyber defenses and risk management frameworks. Yes, some are hyping AI as a means to cure all previous ills. Almost everyone understands we are not there yet.

British scientific instruments maker Spectris said it would accept a 3.73 billion pound ($5.06 billion) bid from Advent if the U.S. private equity firm proceeds with a formal offer, sending its shares surging by 70% on Monday. Spectris' stock price had tumbled in the aftermath of U.S. President Donald Trump's erratic trade policies, opens new tab, hitting an eight-and-half year low in early April. "We and many investors have increasingly seen Spectris as a takeout target, especially with the group having simplified its portfolio in recent years and with it trading at a discount to U.S. peers," JP Morgan analysts said in a note. The British company, which provides hardware, analytical and simulation software to industries such as pharmaceuticals, steel and automotive, said in late April it expected to be able to offset the direct impact of tariffs through its ability to apply surcharges.
