SHFL entertainment to be the Exclusive Distributor of Amaya's Online Poker and Gaming Platforms in the United States

MONTREAL, Canada – December 17, 2012 – Amaya Gaming Group Inc. (“Amaya” or the “Corporation”) (TSXV: AYA), an entertainment solutions provider for the regulated gaming industry, and SHFL entertainment, Inc. (NASDAQ Global Select Market: SHFL) (“SHFL” or the “Company”) today announced that SHFL has been selected as the exclusive distributor of Amaya’s state of the art Gaming Platform (“AGP”) and the Ongame Poker Platform (“Ongame Poker”) in the United States for a 10 year term commencing on the execution of the definitive agreement.

SHFL was founded in 1983 with corporate headquarters in Las Vegas, NV. The company posted 2011 revenues of US$228 million (all figures in US dollars) and has a current market capitalization of $887 million. SHFL has over 3,000 customers in six continents and holds more than 300 gaming licenses, approvals, authorizations and waivers from gaming authorities and regulators worldwide. In July, SHFL was one of the first three companies to be granted an unrestricted interactive license by the Nevada Gaming Control Board.

The terms of a definitive agreement will include SHFL making up to a $10 million payment to Amaya for the exclusive rights granted. SHFL and Amaya will share all revenue equally and also split all direct U.S. operational expenses, such as hosting, hardware and licensing costs. Upon the execution of the definitive agreement, SHFL will pay Amaya $2 million and have the immediate ability to offer its business-to-business (“B2B”) customers the AGP casino content and Ongame Poker solution for free-to-play social casino, which is one of the fastest growing segments of online entertainment in North America.

Contingent upon regulated, real-money online poker commencing under either a Federal statute or in California, SHFL will pay Amaya an additional $8 million. Alternatively, if individual States commence regulated, real-money online poker before commencement of such play under either a Federal statute or such play becomes legalized in California, SHFL will pay up to an aggregate of $8 million on a prorated basis (based on population) as individual States commence regulated, real-money online poker. In the event the Federal government or California commences regulated, real-money online poker after any other State, SHFL will pay Amaya the difference between $8 million and the aggregate amount previously paid.

Shuffle Master is the latest provider to officially be granted a license to prove iPoker services to Nevada casinos. Earlier today, the company became the third company to receive approval by the Nevada Gaming Control Board. Bally Technologies and International Game Technology are the other two companies. Anyone using Shuffle Master as a provider would be looking at January 2013 as their go-live date.

The approval process for online poker licensing in Nevada moved forward again on Tuesday with two applications, PaddyPower and Shuffle Master, passing the suitability hearing phase before the Nevada Gaming Commission.

 

Shuffle Master joins the “manufacturer/provider” category of firms who will offer interactive gaming systems, the same role occupied by Bally Tech and IGT.

 

Current Ongame parent bwin.party has subsequently claimed six new suitors for the software platform in a recent press release, though whether any of them is eyeing the US market remains undisclosed.

 

Both Shuffle Master and PaddyPower are likely to receive formal approval of their applications later this month.

bwin.party is re-engaging with other third parties that have expressed an interest in acquiring Ongame. bwin.party will make a further announcement as and when appropriate.

 

bwin.party digital entertainment plc (BPTY.L: News ) said that the company and Shuffle Master (SHFL: News ) have mutually agreed not to proceed with the proposed transaction. This decision is further to the announcement on March 6, 2012 regarding the proposed sale of the group's Ongame poker network to Shuffle Master.

 

The sale of surplus assets, including Ongame, remains a core part of bwin.party's strategy.

A spokesperson for bwin.party said that Shuffle's withdrawal was over concerns on the general economic climate in Europe.

 

The company had entered into a definitive agreement to purchase the Ongame poker network back in March of this year for a total consideration of up to €29.5m, enabling it to keep up with rival US gaming suppliers who have also recently made moves to position themselves ahead of any opening of the US online gaming market.

 

Earlier this month it was selected by Bally and Aristocrat as one of their preferred poker solutions as part of their B2B online gaming solutions for US operators. It remains unclear at this time what Shuffle’s online gaming strategy will now rely upon.

Gavin Isaacs gets praise for planning to acquire Ongame, Howard Stutz at CasinoCityTimes

Gaming analyst McGill called Ongame "an outstanding acquisition" that could allow Shuffle Master to break into the online poker business in U.S. states that legalize the activity, including Nevada.

 

"We think Ongame will be one of the major poker network providers, given its technology and the fact that it can get licensed over foreign rivals much easier," McGill said.  

 

During the past 13 months, Isaacs has provided the direction to boost results in Shuffle Master's four key business segments:

- utility products: automated card shufflers and table game management systems

- table games: Three Card Poker, Let It Ride, Ultimate Texas Hold'em and other games

- electronic table games: roulette etc

- electronic gambling machines: slot machines

When Isaacs arrived, shares in the company traded at roughly $8. Today the shares hover in the $15 range. "He is the best CEO in the gaming space," the insider said.

Shuffle Master have reported second quarter results which were well above expectations, its shares soared 60% from 11.72 on Jan. 2 to a high of 18.77 on April 3, and have since fallen 27% in sync with the market, to a 14.81 close Friday.

 

For the second quarter, analyst consensus is for Shuffle Master to record a 43% jump from a year ago in EPS, to 20 cents. Sales are seen rising just 8.7%, to $65.1 million.

 

Shuffle Master has diversified to global markets and focused on developing and buying new games. In March, it bought Ongame Network, one of the world’s largest online poker game makers. Several states are near voting on whether to legalize online poker.

Purchased for approximately $2.2 million, the land will be home to nearly 110,000 square feet of new office and manufacturing space, bringing all local departments, services and employees to one location. Shuffle Master's current headquarters comprise four separate building leases that house executive and corporate departments, manufacturing, warehouses, an interactive division and a products showroom.

Shares of Las Vegas-based Shuffle Master fell 72 cents, or 5.4 percent, to $12.62 by midday.

 

This change of heart before the deal was announced in March did not however prevent Shuffle Master from going on to announce B2B deals this month to provide the Ongame poker technology to slot machine manufacturers Bally Technologies and Aristocrat, suggesting there may be reasons other than the challenging European poker climate for the collapse of the deal.

 

Shuffle Master earlier his month launched a trademark and copy infringement action against US mobile developer Avalinx over the latter producing copycat versions of Shuffle Master’s Let It Ride and Three Card Poker games, versions of which appear on bwin.party’s websites without acknowledgement of Shuffle Master’s copyrights and trademarks, according to Pokerfuse, hinting at a potential dispute between the two companies.

 

Other third parties understood by Casino Choice to have previously expressed an interest in buying Ongame included Canadian software provider Amaya, that recently acquired casino software businesses Chartwell and CryptoLogic.

Shuffle Master sues iPhone developer for trademark infringement, Steve Green at Vegas Inc

Casino supplier Shuffle Master of Las Vegas sued app developer Avalinx LLC, alleging trademark and copyright infringement. 

 

The trademarks and copyrights at issue cover Shuffle Master’s Let It Ride and Three Card Poker table games, which are licensed to casinos worldwide. Besides “usurping” Shuffle Master names and designs, the Ohio company likely copied its “Let ‘Em Ride Pro” image from the genuine “Let It Ride” image on Shuffle Master’s website, the lawsuit charges. Shuffle Master seeks unspecified damages.

1. First and foremost, they are a strict B2B operator and that is exactly in line with our strategy.

 

2. The second biggest reason was the success of the platform in Europe. Ongame are experts in rapidly addressing regulated markets and doing so in a way that allows for database storage across many different environments. It's extremely important if you're going to live in a highly fragmented, highly regulated environment that you have the ability to combine as many of your liquidity pools as possible. The system was designed in the last few years when there were multiple regulatory environments to address.

 

3. The third is that Ongame has the healthiest poker network, in our estimation, currently in the market. It has the highest return of revenue for operators and it's focused on high quality play where players are very loyal and engaged.

Revenues increase year-over-year by 10%, Shuffle Master

Total revenue increased year-over-year by 10% to $66.1 million, a quarterly record, due to strong Utility and Electronic Gaming Machine ("EGM") performance as well as lease, royalty and service revenue ("recurring revenue") growth in the Company's Utility and Proprietary Table Games ("PTG") segments.


Total recurring revenue was up 11% year-over-year and totaled $28.9 million.
GAAP net income grew 23% year-over-year to $9.7 million.


Diluted earnings per share ("EPS") grew 21% year-over-year to $0.17, compared to $0.14 in the prior year period.  Excluding expenses incurred in connection with the proposed Ongame acquisition, EPS was $0.20.


Gross margin increased 400 basis points year-over-year to approximately 64%, due primarily to increased segment margin performance in the Utility, PTG and EGM segments.


Operating income margin increased 200 basis points year-over-year to 22%.  Excluding expenses incurred in connection with the proposed Ongame acquisition, operating margin was 25% in the second quarter.


Adjusted EBITDA was a quarterly record, totaling $23.7 million, up 25% from $19.0 million in the year-ago quarter.

The Grand Lisboa has been named in a Macau court as the casino that lost more than HK$24m ($3m) in March 2011 in a shuffling machine scam.

 

The flagship property of SJM Holdings, the leader of Macau's gambling market by revenue, was targeted by a gang of mainland Chinese on March 28 last year. The gang's shuffler-swapping scam was first detected in January 2011 at SJM satellite casino Le Royal Arc, the Court of First Instance heard on Wednesday last week. One suspect captured in the Grand Lisboa's surveillance footage was alleged to have swapped a machine at the feet of a distracted dealer.

 

The machines had been fitted with small cameras and infrared transmitters and were swapped with genuine machines on baccarat tables while dealers and other staff were distracted, the court was told. The card shufflers belong to a competitor of Shuffle Master.

Shuffle Master was forced to cover its products when Macau customs officials went to the American company’s exhibition stand. However then, Shuffle Master obtained a court order showing it was permitted to showcase the products in question and so took off the covers again.

 

LT Game claims it has a Macau patent for this particular multi-game electronic casino product. Shuffle Master disputes LT Game’s patent and says it has already won several court cases in Macau to that effect.

 

In Macau, copyright infringement is considered a crime and offenders could be jailed.
