Negotiations with new potential buyer of Ongame have started, bwin.party

Negotiations with new potential buyer of Ongame have started, bwin.party | Poker & eGaming News | Scoop.it

bwin.party is re-engaging with other third parties that have expressed an interest in acquiring Ongame. bwin.party will make a further announcement as and when appropriate.

bwin.party digital entertainment plc (BPTY.L: News ) said that the company and Shuffle Master (SHFL: News ) have mutually agreed not to proceed with the proposed transaction. This decision is further to the announcement on March 6, 2012 regarding the proposed sale of the group's Ongame poker network to Shuffle Master.

The sale of surplus assets, including Ongame, remains a core part of bwin.party's strategy.

A spokesperson for bwin.party said that Shuffle's withdrawal was over concerns on the general economic climate in Europe.

The company had entered into a definitive agreement to purchase the Ongame poker network back in March of this year for a total consideration of up to €29.5m, enabling it to keep up with rival US gaming suppliers who have also recently made moves to position themselves ahead of any opening of the US online gaming market.

Earlier this month it was selected by Bally and Aristocrat as one of their preferred poker solutions as part of their B2B online gaming solutions for US operators. It remains unclear at this time what Shuffle’s online gaming strategy will now rely upon.

Casino supplier Shuffle Master of Las Vegas sued app developer Avalinx LLC, alleging trademark and copyright infringement.

The trademarks and copyrights at issue cover Shuffle Master’s Let It Ride and Three Card Poker table games, which are licensed to casinos worldwide. Besides “usurping” Shuffle Master names and designs, the Ohio company likely copied its “Let ‘Em Ride Pro” image from the genuine “Let It Ride” image on Shuffle Master’s website, the lawsuit charges. John Connelly, Bally Technologies’ Vice President of Business Development:

"Bally is pleased to offer Ongame’s proven poker platform, which will provide a unique offering through its integration on Bally’s iGaming platform. Bally Technologies and Aristocrat Technologies have agreed to offer Ongame as one of their preferred poker solutions, thus creating a combined liquidity pool for our customers. Revenues increase year-over-year by 10%, Shuffle Master

Total revenue increased year-over-year by 10% to $66.1 million, a quarterly record, due to strong Utility and Electronic Gaming Machine ("EGM") performance as well as lease, royalty and service revenue ("recurring revenue") growth in the Company's Utility and Proprietary Table Games ("PTG") segments.

Total recurring revenue was up 11% year-over-year and totaled $28.9 million.
GAAP net income grew 23% year-over-year to $9.7 million.

Diluted earnings per share ("EPS") grew 21% year-over-year to $0.17, compared to $0.14 in the prior year period.  Excluding expenses incurred in connection with the proposed Ongame acquisition, EPS was $0.20.

Gross margin increased 400 basis points year-over-year to approximately 64%, due primarily to increased segment margin performance in the Utility, PTG and EGM segments.

Operating income margin increased 200 basis points year-over-year to 22%.  Excluding expenses incurred in connection with the proposed Ongame acquisition, operating margin was 25% in the second quarter.

Adjusted EBITDA was a quarterly record, totaling $23.7 million, up 25% from $19.0 million in the year-ago quarter.

“Our rationale was always to get a business (Ongame) that was around break-even in its current markets, with the opportunity to expand it as new markets come online,” Isaacs said.

Shuffle Master’s foray into Internet gambling M&A followed on from Bally Technologies’ acquisition of Chiligaming's online platform for an undisclosed sum in February, and from International Game Technology’s acquisition of Entraction Holding for $115m in May 2011.

WMS Industries followed suit last month with a deal to acquire Sweden’s Jadestone Group, a distributor of online gambling games to European-based operators including Bwin.Party, Betfair and Betsson.

Shuffle Master is buying land and building new super office | Poker & eGaming News | Scoop.it

Purchased for approximately $2.2 million, the land will be home to nearly 110,000 square feet of new office and manufacturing space, bringing all local departments, services and employees to one location. Shuffle Master's current headquarters comprise four separate building leases that house executive and corporate departments, manufacturing, warehouses, an interactive division and a products showroom.

"This is a very exciting time of growth for Shuffle Master and we are clearly 'on the move' – literally and figuratively," said Gavin Isaacs, Chief Executive Officer. Fast-forward to today, Shuffle Master generates close to 10 times those annual revenues and offers 5 diverse product categories to customers around the globe.  Given our significant evolution over the years, a new consolidated facility will serve to promote greater efficiencies in the business and allow us to create the right infrastructure for future growth."

Gavin Isaacs gets praise for planning to acquire Ongame, Howard Stutz at CasinoCityTimes

Gaming analyst McGill called Ongame "an outstanding acquisition" that could allow Shuffle Master to break into the online poker business in U.S. states that legalize the activity, including Nevada.

"We think Ongame will be one of the major poker network providers, given its technology and the fact that it can get licensed over foreign rivals much easier," McGill said.

During the past 13 months, Isaacs has provided the direction to boost results in Shuffle Master's four key business segments:

- utility products: automated card shufflers and table game management systems

- table games: Three Card Poker, Let It Ride, Ultimate Texas Hold'em and other games

- electronic table games: roulette etc

- electronic gambling machines: slot machines

When Isaacs arrived, shares in the company traded at roughly $8. Today the shares hover in the $15 range. "He is the best CEO in the gaming space," the insider said.

Why does Shuffle Master buy Ongame, Inside Poker Business

Why does Shuffle Master buy Ongame, Inside Poker Business | Poker & eGaming News | Scoop.it

Interview with Lou Castle, Chief Strategy Officer at Shuffle Master:

1. First and foremost, they are a strict B2B operator and that is exactly in line with our strategy.

2. The second biggest reason was the success of the platform in Europe. Ongame are experts in rapidly addressing regulated markets and doing so in a way that allows for database storage across many different environments. It's extremely important if you're going to live in a highly fragmented, highly regulated environment that you have the ability to combine as many of your liquidity pools as possible. The system was designed in the last few years when there were multiple regulatory environments to address.

3. The third is that Ongame has the healthiest poker network, in our estimation, currently in the market. It has the highest return of revenue for operators and it's focused on high quality play where players are very loyal and engaged.

$3m scam at Grand Lisboa using poor shufflers, Gambling Compliance

The Grand Lisboa has been named in a Macau court as the casino that lost more than HK$24m ($3m) in March 2011 in a shuffling machine scam.

The flagship property of SJM Holdings, the leader of Macau's gambling market by revenue, was targeted by a gang of mainland Chinese on March 28 last year. The gang's shuffler-swapping scam was first detected in January 2011 at SJM satellite casino Le Royal Arc, the Court of First Instance heard on Wednesday last week. One suspect captured in the Grand Lisboa's surveillance footage was alleged to have swapped a machine at the feet of a distracted dealer.

The machines had been fitted with small cameras and infrared transmitters and were swapped with genuine machines on baccarat tables while dealers and other staff were distracted, the court was told. The card shufflers belong to a competitor of Shuffle Master.

Recreational Players Vital To Online Poker, Charles Rettmuller PokerUpdate

Recreational Players Vital To Online Poker, Charles Rettmuller PokerUpdate | Poker & eGaming News | Scoop.it

Although many poker players are undoubtedly there to win money, there is a certain segment of players--the casual type--who are playing for the sheer fun and enjoyment of the game. If a few dollars happen to come there way by taking down a big pot or two, all the better, but its not necessarily the primary reason why they sit down at the virtual felt to play. One need look only as far as the popularity of Zynga Poker, and their over 30 million active monthly players worldwide, to realize that people will play poker without risking any money simply because its a fun game to play. And there are many of those fun-seeking players who deposit at real-money sites to increase their enjoyment by wagering a few dollars. But there are also a lot who still don't.

Ongame has branded their attempt to balance the playing field as a success, citing statistics that show an increase in recreational, net depositing players since the advent of the Essence concept. "Essence helps create an even healthier ecosystem, in a way that is unique for the entire poker industry,” said Fredrik Kjell, Head of Poker at the Ongame Network.

Shuffle Master is built to handle regulation, Yogonet.com

Shuffle Master is built to handle regulation, Yogonet.com | Poker & eGaming News | Scoop.it

Europe is undergoing a change from open online gaming served by licensed jurisdictions to regulated and taxed jurisdictions requiring independent licensure.  This is commonly referred to as the .com to .country transition.  Needless to say it is causing great disturbances in the world wide online gaming business but this change is one we welcome at Shuffle Master.

One of our companies strengths is operating in a wide variety of regulatory environments.  With each new regulated market the overall online space becomes less crowded and we have a competitive opportunity to be first into a newly regulated space.  This will be especially true in the US which, in our opinion, is likely to be initially fragmented similar to the European transition.

Our pending acquisition of Ongame adds a seasoned, world class, B2B poker network to our offering of proprietary and public domain table games and slots.  The team at Ongame are the most valuable asset as they understand how to manage a massive B2B poker ecology.

Our main objective is to be the very best, trusted source of our intellectual property (table games, slots etc.) and high quality non-priprietary games online, just as we are one of the most trusted names in land based gaming supply world wide.
