This was a very similar acquisition to the one made by Nestle acquiring Pfizer Nutrition. Just like Nestle, Danone did not take over the whole Wockhardt group but only the group's nutrition business and brands. This enabled them to enter India's baby food and medical nutrition market. This suggests that even though Danone did not win the battle for buying Pfizer Nutrition against Nestle, it did not sit on its’ hands calmly observing the successes of its main peer. On the contrary, it acquired a very promising business which enlarged its market share in the same category (baby formulas production) and opened the doors to the emerging and fast growing markets. The race of the food producing giants seems to be very fierce with interesting ups and downs.

This recent acquisition, although it's a lot smaller than the acquisition of Pfizer Nutrition Unit by Nestle a year before, shows that the leaders in the food production does not want to be left behind by the competitors. Mergers and acquisitions are the bread and butter in this specific sector of the giants controlling the consumption all over the world. Unilever, whose biggest competitors on the market are Nestle and Procter&Gamble, decided to bring a premium tea business to complement their portfolio (e.g. Lipton) and share the tea production expertise with the Australian producer - T2.

Although this acquisition took place one year ago, it still remains a very recent and important takeover in the fast-moving-consumer-goods giants' sector. Nestle decided to struggle against Danone in order to increase the market share in emerging markets, where the producer of baby formulas - Pfizer Nutrition, had almost 85% of all operations! The enormous price paid for the deal - 11.85 bn USD (!) resulted in the win of Nestle over Danone and in opening the doors for this Food Producing giant to the emerging markets (with double digit growth per year and high future birth rate expectations).

This takeover which costed Unilever almost 4 bn USD in cash (!) gave this European food producing giant an important share in production of beauty cosmetics especially in the American market but also in other countries. This geographic expansion seems to be a very good decision since the demand of Americans for such type of products has been increasingly growing in the past years.

Nestle SA, the world’s biggest food company, agreed to buy Pfizer Inc.’s infant-nutrition unit for $11.9 billion, edging out Danone in a contest for a business that gets most of its sales in fast-growing emerging markets.

This takeover will help Nestle regain traction in the Chinese baby-food market, where it has been losing market share since 2005.That is why the giant was ready to pay almost 20 times the EBITDA value of Pfizer Nutrition Unit of 2012. The multiple falls to 15.6 times after estimated cost savings, according to the Nestle. The acquisition is the second-biggest announced this year, according to data compiled by Bloomberg, behind Glencore International Inc.’s $45 billion bid for Xstrata Plc.
